Risk Factors

  1. Our business is difficult to evaluate because we do not have an operating history and is a blind pool investment. You have limited information upon which to evaluate the risk of an investment in the Company since we have not yet begun significant operations or identified specific real estate opportunities for development.
  2. Dependence on Key Personnel. The Company will depend on the services of Mr. Dean Cook and any other executive officers and key members of CCF with extensive experience and expertise in the multifamily residential construction business on behalf of the investors. See “Management.” The loss of their services for any reason could have a material adverse effect on the Company.
  3. The Company will incur debt, which will increase the risk of loss–Leveraged Investment. A substantial portion of the total acquisition and development for the Company’s projects will be paid with borrowed funds. The use of borrowed money to acquire and develop real estate is referred to as leveraging. Leveraging increases the funds available for investment or development purposes, on the one hand, but also increases the risk of loss on the other. If the Company were unable to repay the principal and interest on the borrowed funds (called a “default”), the lenders likely would foreclose on one or multiple projects and properties and the Company could lose its entire equity investment in its properties.
  4. Investing in private placements like this Offering involves significant risks not present in investments in public offerings. Investing in private placements involves a high degree of risk. Securities sold through private placements are typically not publicly traded and, therefore, are less liquid. Additionally, investors will receive restricted securities that are subject to holding period requirements. Companies seeking private placement investments tend to be in earlier stages of development and have not yet been fully tested in the public marketplace. Investing in private placements requires high risk tolerance, low liquidity concerns, and long-term commitments. Investors must be able to afford to lose their entire investment. Investment products are not FDIC insured, may lose value, and there is no bank guarantee.
  5. Future and Past Performances. The performance by Affiliates of the General Partner of prior activities is not necessarily indicative of the Partnership’s results. There is no assurance that the Partnership’s investments will perform as well as the past investments of the affiliates or that the Partnership will be able to avoid losses.

No Offer or Solicitation:  This is neither an offer to sell nor a solicitation of an offer to buy any security. Any such offer can only be made to accredited investors by a confidential private placement memorandum and all exhibits, attachments and supplements thereto.
