  1. Our business is difficult to evaluate because we do not have an operating history and is a blind pool investment. You have limited information upon which to evaluate the risk of an investment in the Company since we have not yet begun significant operations or identified specific real estate opportunities for development.
  2. Dependence on Key Personnel. The Company will depend on the services of Mr. Dean Cook and any other executive officers and key members of CCF with extensive experience and expertise in the multifamily residential construction business on behalf of the investors. See “Management.” The loss of their services for any reason could have a material adverse effect on the Company.
  3. The Company will incur debt, which will increase the risk of loss–Leveraged Investment. A substantial portion of the total acquisition and development for the Company’s projects will be paid with borrowed funds. The use of borrowed money to acquire and develop real estate is referred to as leveraging. Leveraging increases the funds available for investment or development purposes, on the one hand, but also increases the risk of loss on the other. If the Company were unable to repay the principal and interest on the borrowed funds (called a “default”), the lenders likely would foreclose on one or multiple projects and properties and the Company could lose its entire equity investment in its properties.
  4. Investing in private placements like this Offering involves significant risks not present in investments in public offerings. Investing in private placements involves a high degree of risk.
